Taleni Africa Products Take Gold, Silver & An Eco Award In Namibia
The Hospitality Association of Namibia (HAN) makes annual Awards of Excellence to various categories of hospitality establishments in recognition of their hard work, dedication and eagerness to demonstrate the quality of their products and services. These qualities are recognized by the guests themselves and documented in HAN questionnaires which are sent to independent auditors for annual adjudication.

The Eco Award Namibia are a mark of distinction for accommodation establishments that are planned and managed according to eco-friendly principles. They are assessed according to a catalogue of seven sets of criteria such as water & waste water management, waste management including recycling practices, energy management, approach towards the ecology, sustainable construction & landscaping practices as well as staff welfare & development programs and involvement in and social responsibility towards local communities. The emblem of the eco awards Namibia is the "Desert Flower" which not only symbolises roots, earth, water, leaves and the sun of Namibia, but also the human being.

At the recent HAN awards ceremony of 28 November 2009 held in Windhoek, all three of Taleni Africa's hospitality establishments received recognition:
Taleni Etosha Village - Gold Award of Excellence + Eco Award Namibia
Sossusvlei Lodge - Silver Award of Excellence
Desert Camp - Silver Award of Excellence

NOTICE TO SHAREHOLDERS

TerraSan Ltd has sold its 100%-interest in J.G. Stewart & Sons (Pty) Ltd (Fruit farm - Langkloof) as a going concern to the Du Toit Group, Ceres.

The effective date of the transaction is 17 August 2010 at 24:00.

TerraSan Bpk het sy 100%-belang in J.G. Stewart & Sons (Edms) Bpk (Vrugteplaas - Langkloof) as 'n lopende saak aan die Du Toit Groep, Ceres verkoop.

Die effektiewe datum van die transaksie is 17 Augustus 2010 om 24:00.

NOTICE TO SHAREHOLDERS

1. Please note that the articles of association of the company which stipulated that a member was not allowed to hold more than 3% of the issued share capital of the company, was amended to 6%. A member can therefore currently hold ±584,392 shares of the 9,739,871 shares issued to date.

2. During December 2009 TerraSan Ltd increased its interest in Aquafarm Development (Pty) Ltd from 75% to 100%.

Aquafarm owns an abalone farm at Hermanus, and 40% of Roman Bay Sea Farm (Pty) Ltd and subsidiaries (SPP Canning - abalone processing plant and Marifeed - abalone feed manufacturer) as well as 45% of Midae Marketing (abalone marketing).

3. The TerraSan Ltd/Empowco Holdings (Pty) Ltd transaction (refer Extraordinary meeting of TerraSan Ltd shareholders on 23 November 2009) was approved by the shareholders of both companies.

Whereas the transaction is partly an exchange transaction, TerraSan Ltd obtains a 26%-interest in Roman Bay Sea Farm (Pty) Ltd and subsidiaries. Therefore TerraSan Ltd owns effectively 66% of Roman Bay Sea Farm (Pty) Ltd.

4. The directors and management believe that the above-mentioned two transactions position us strategically well within the mariculture industry and increase our empowerment to more acceptable levels.

1. Neem asb. kennis dat die statute van die maatskappy wat bepaal het dat 'n lid nie meer as 3% van die uitgereikte aandelekapitaal van die maatskappy kon hou nie, gewysig is na 6%. 'n Lid kan tans ±584,392 aandele hou, aangesien 9,739,871 aandele uitgereik is.

2. TerraSan Bpk het gedurende Desember 2009 sy belang in Aquafarm Development (Pty) Ltd van 75% tot 100% verhoog.

Aquafarm besit 'n perlemoenplaas te Hermanus, en 40% van Roman Bay Sea Farm (Pty) Ltd en filiale (SPP Canning - perlemoen verwerkingsaanleg en Marifeed - perlemoenvoer vervaardiger) asook 45% van Midae Marketing (perlemoen bemarking).

3. Die TerraSan Bpk/Empowco Holdings (Pty) Ltd transaksie (verwys Spesiale vergadering van TerraSan Bpk aandeelhouers op 23 November 2009) is deur beide maatskappye se aandeelhouers goedgekeur.

Aangesien die transaksie deels 'n ruiltransaksie is, bekom TerraSan Bpk 'n 26%-belang in Roman Bay Sea Farm (Pty) Ltd en filiale. TerraSan Bpk besit dus effektief 66% van Roman Bay Sea Farm (Pty) Ltd.

4. Die direksie en bestuur glo dat bostaande twee transaksies ons strategies goed posisioneer in die marikultuurbedryf en ook ons bemagtiging verhoog na meer aanvaarbare vlakke.

NOTICE TO SHAREHOLDERS TERRASAN BEPERK

1. Please note that the articles of association of the company which stipulated that a member was not allowed to hold more than 3% of the issued share capital of the company, was amended to 6%. A member can therefore currently hold ±584,392 shares of the 9,739,871 shares issued to date.

2. During December 2009 TerraSan Ltd increased its interest in Aquafarm Development(Pty) Ltd from 75% to 100%.

Aquafarm owns an abalone farm at Hermanus, and 40% of Roman Bay Sea Farm (Pty) Ltd and subsidiaries (SPP Canning - abalone processing plant and Marifeed - abalone feed manufacturer) as well as 45% of Midae Marketing (abalone marketing).

The purchase-price of the 25%-interest amounted to R20,875 m. R5,87 m of the purchase-price was paid in cash, R3.25 m by means of issuing/exchanging of TerraSan Ltd and Blue Bay (mussels) shares and the balance of Rl1. 75 m will be paid during December 2010 en December 2011.

3. The TerraSan Ltd/Empowco Holdings (Pty) Ltd transaction (refer Extraordinary meeting of TerraSan Ltd shareholders on 23 November 2009) was approved by the shareholders of both companies.

The result of the transaction on 1 January 2010 was that the black economic empowerment (BEE) ofTerraSan Ltd increased to 21%. The black shareholders concerned also had the option to take up a further ±6% in TerraSan Ltd, which would then increase your company's BEE-status to ±27%. This is still in process. If the ±6% shares have been taken up, it will lead to a cash injection of ±R4.6 m in TerraSan Ltd.

Whereas the transaction is partly an exchange transaction, TerraSan Ltd obtains a 26%-interest in Roman Bay Sea Farm (Pty) Ltd and subsidiaries. Therefore TerraSan Ltd owns effectively 66% of Roman Bay Sea Farm (Pty) Ltd.

3. Die TerraSan Bpk/Empowco Holdings (Pty) Ltd transaksie (verwys Spesiale vergadering van TerraSan Bpk aandeelhouers op 23 November 2009) is deur beide maatskappye se aandeelhouers goedgekeur.

Die resultaat van die transaksie op 1 Januarie 2010 is dat TerraSan Bpk se swart ekonomiese bemagtiging (SEB) na 21% gestyg het. Die betrokke swart aandeelhouers het ook 'n opsie gehad om 'n verdere ±6% in TerraSan Bpk op te neem, wat dan u maatskappy se SEB-status na ±27% sal verhoog. Die proses is tans aan die gang. Indien die ±6% aandele opgeneem word, sal dit lei tot 'n kontantinspuiting van ±R4.6 m in TerraSan Bpk.
